Terms of Service
These terms govern use of the Company's alternative-data credit scoring and lending decision-support product (the Service) and this website by lending institutions and their authorized representatives.
1. Nature of the Service
The Service composes an explainable credit score and a tiered recommendation from consented alternative-data signals. The Service is decision support - it does not itself make lending decisions.
Every recommendation returned by the Service is advisory. The final lending decision, and the human review preceding it, remain at all times the responsibility of the lending institution and its own credit policy.
2. Who may use the Service
The Service is offered to regulated lending institutions and to organizations lawfully engaged in credit decisioning within the jurisdictions where the Service is deployed. The Service is not offered to individuals for personal use and is not intended to be used to score borrowers without their explicit, source-scoped consent.
3. Lender responsibilities
Lending institutions using the Service undertake to:
- Obtain and maintain valid, source-scoped consent from every applicant whose signals are processed through the Service.
- Apply their own credit policy, escalation rules and human review to every scored application. The Service must not be used to auto-approve or auto-decline applications.
- Comply with all applicable data protection, fair lending, anti-discrimination and financial regulation in the jurisdictions in which they operate.
- Communicate accurately with applicants about how their signals are used in the lending decision, where local regulation requires such communication.
4. Company responsibilities
The Company undertakes to:
- Provide the Service in accordance with the documentation and service levels agreed with the lending institution.
- Retain the exact signal set, sub-scores, weights and rule version used for every scored decision, so that any prior decision can be reproduced and defended.
- Maintain the technical and organizational security controls described on the Company's Security page.
- Not sell, license or otherwise disclose applicant data to any third party for any commercial purpose.
5. No universal creditworthiness rating
The composite score produced by the Service is calibrated to rank order applicants within a comparable segment for a specific lending institution's book. It is not, and must not be represented as, a universal creditworthiness rating.
6. Missing or unavailable signals
Where a signal source is unavailable for a given applicant, the composite is re-normalized across the sources that are available. Missing data does not silently penalize an applicant. The Service will always disclose which signal sources were and were not available for a given score.
7. Intellectual property
The Platform, weighting models, portfolio monitoring surfaces, documentation and all associated materials remain the intellectual property of the Company. Use of the Service does not transfer any such intellectual property to the lending institution beyond the license required to use the Service as intended.
8. Confidentiality
Each party will treat non-public information exchanged in the course of using or providing the Service as confidential and use such information solely for the purpose of operating, evaluating or improving the Service, subject to any legal or regulatory disclosure obligations.
9. Warranties and limitations
The Service is provided on a professional-services basis. No representation is made that the Service will produce a specific approval rate, default rate or portfolio outcome for any lending institution. Realized outcomes depend on the institution's own credit policy, product design and market conditions.
To the maximum extent permitted by applicable law, the Company's liability arising out of or relating to the Service is limited to the fees paid by the lending institution for the Service in the twelve months preceding the event giving rise to the claim.
10. Suspension and termination
The Company may suspend the Service for a lending institution that is materially in breach of these terms, including in cases where the Service is being used to auto-approve or auto-decline applications, or where the institution has not maintained valid applicant consent.
Termination does not affect the retention obligations described in the Privacy Policy.
11. Governing law
These terms are governed by the law of the jurisdiction of the lending institution's deployment agreement, unless otherwise agreed in writing.
